B2B terms
These framework terms describe how business-to-business transactions are structured on UPto90. Specific commercial terms are agreed per lot, per drop or per brand and are presented before any commitment is made.
Who these terms apply to
B2B terms apply to verified businesses purchasing inventory for resale, retail, distribution, export or other commercial use. Business buyers may be asked to provide company information and supporting documentation before accessing B2B opportunities.
Lots, demand drops and allocation
Inventory may be offered as a full lot, through a time-bound demand drop, or as part of a combined route. Where a demand drop is oversubscribed, inventory is allocated according to the predefined commercial rules disclosed for that opportunity, which may include requested quantity, minimum order quantity, buyer eligibility, allocation limits, supplier requirements and demand timing.
Minimum order quantities and conditions
Minimum order quantities, lot composition and product condition are stated for each opportunity. Business buyers are expected to review the disclosed lot, condition and verification information before committing.
Verification
Where an opportunity is marked as UPto90 Verified, the verified elements are described for that opportunity. Verification is matched to the inventory type and transaction structure and does not imply that every listing is physically inspected.
Fulfilment and claims
Fulfilment follows the model agreed for each transaction, which may involve the brand, a warehouse, a 3PL or an inventory partner. A defined claims process applies to B2B transactions and is disclosed as part of the specific commercial terms.
Business-specific commercial terms
Pricing, payment, delivery and other commercial conditions are business-specific and agreed in writing for each transaction. Nothing on this website constitutes an offer or guarantee of availability.
